1. Acceptance of Terms
By accessing or using SMAD Portal (the "Service"), operated by Extant 2000, LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Description of Service
SMAD Portal is a cloud-based mission engineering platform that provides tools for spacecraft design, requirements management, risk analysis, orbital mechanics, and related engineering workflows. The Service is provided on a subscription basis with multiple plan tiers.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You must notify us immediately if you suspect unauthorized access to your account.
4. Subscription Plans & Billing
The Service offers three subscription tiers: Starter, Professional, and Enterprise. Plan features and pricing are described on our pricing page.
- Subscriptions renew automatically at the end of each billing period
- You may upgrade, downgrade, or cancel your subscription at any time from your account settings
- Upgrades take effect immediately; downgrades take effect at the next billing cycle
- Refunds are available under our 30-day money-back guarantee for first-time subscribers
All payments are processed through Stripe. Prices are in US Dollars and do not include applicable taxes.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated scripts to collect data from the Service without authorization
- Share account credentials with unauthorized individuals
- Upload malicious code, viruses, or harmful content
6. Your Data
You retain full ownership of all data you upload or create within the Service, including mission data, requirements, risk items, trade studies, and engineering parameters ("Your Data").
We do not access, use, or share Your Data except as necessary to provide the Service, comply with legal obligations, or as described in our Privacy Policy.
You are responsible for ensuring that Your Data does not violate export control regulations (ITAR, EAR) or other applicable laws.
7. Intellectual Property
The Service, including its design, code, documentation, trademarks, and all related intellectual property, is owned by Extant 2000, LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription period.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. Enterprise plans include a 99.9% uptime SLA. We may perform scheduled maintenance with reasonable advance notice.
9. Limitation of Liability
To the maximum extent permitted by law, Extant 2000, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
Our total liability for any claims arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
The Service provides engineering tools and calculations for reference purposes. It is not a substitute for professional engineering judgment. You are solely responsible for all design decisions made using the Service.
10. Indemnification
You agree to indemnify and hold harmless Extant 2000, LLC from any claims, losses, or damages arising from your use of the Service, violation of these terms, or violation of any rights of a third party.
11. Termination
We may suspend or terminate your access to the Service if you violate these terms, fail to pay subscription fees, or engage in activity that threatens the security of the Service or other users.
Upon termination, you may export Your Data within 30 days. After that period, we may delete Your Data in accordance with our data retention policy.
12. Modifications
We may modify these Terms of Service at any time. Material changes will be communicated via email or through a notice on the platform at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
13. Governing Law
These terms are governed by the laws of the United States. Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
